Groundhog Club Constitution

Preamble

WHEREAS, there has long existed a great bond of friendship and sincere good fellowship among the men engaged in the administration, design and construction of subway, tunnel, sewer, foundation and other sub-surface work, based upon the common experience and great traditions and understanding that belongs to the men who have devoted their lives to work in the above related fields:

Article I — Name and Object of the Club

NOW, THEREFORE, the GROUND HOG CLUB has been formed for the sole object of bringing together men engaged in the above named fields so that they might share the common experiences that have been theirs, and by their association and good fellowship to be encouraged to dedicate themselves to the sacred trust of carrying on the noble traditions that have been established by their predecessors as pioneers in these fields that have been so important in the development of our beloved country.

Article II — Qualifications and Membership

Membership in the Club shall be limited to those, now or formerly, engaged in the administration, design or construction of subway, tunnel, sewer, foundation, or other sub-surface, and to those who by their contributions to progress in these fields have been held in such universal esteem as to be honored by membership in this Club.

Article III — Officers and Their Election
  1. Officers of the Club shall consist of a president, first vice-president, second vice-president, secretary-treasurer, and sergeant-at-arms, and shall be elected annually. A vacancy in any office because of death, resignation, or failure to serve shall be filled by the Board of Directors for the unexpired portion of the term. The Club shall be governed by a Board of Directors in accordance with this Constitution and the By-Laws promulgated pursuant thereto.
  2. The Board of Directors shall consist of the following members of the Club:
    1. Fifteen elected members, five of which shall be elected each year for term of three years.
    2. The officers of the Club.
    3. The past presidents of the Club for a term of ten (10) years immediately following retirement from the presidency.
  3. Any vacancy occurring on the Board of Directors shall be filled by an appointment by the president with the advice and consent of the Board of Directors.

 

Article IV — Meetings
  1. There shall be an annual meeting of the entire membership of the Club in the City of Chicago on a day as close as is convenient to the second day of February, otherwise known as “GROUND HOG DAY.” The actual meeting date shall be set by the Board of Directors. Such special meetings of the general membership shall be held as from time to time may be called by the Board of Directors.
  2. Twenty (20) members shall constitute a quorum for any regular or annual meeting of the club.

 

Article V — Amendments
  1. Whenever fifteen members of the Club shall deem it necessary to amend this Constitution they shall submit a petition providing for said amendment to the secretary-treasurer. Notice of the proposed amendment shall be given to the Club at least twenty days prior to any general or special meeting and if two-thirds (2/3) of all the ballots cast are in favor of said amendment then the same shall become part of this Constitution.
  2. The Board of Directors may be a two-thirds (2/3) vote of those present at a meeting duly called, amend the By-Laws consistently with this constitution, provided that a written notice of such proposed amendment shall have been given at a previous meeting of the Board of Directors, and that notice of such proposed amendment shall be given to each member of the Board of Directors at least ten (10) days prior to the meeting at which action thereon is to be taken.
